By downloading a confidential Report from immersivelabs.com/security or using information otherwise marked as confidential (a Report), the party identified below as Company agrees to keep the Report confidential and use it solely for the purpose of reviewing the Immersive Labs organizational and technical controls in connection with its use or evaluation of the Immersive Labs products to make a purchasing decision (the Purpose). 

The Company must use a reasonable degree of care to protect Reports and to prevent any unauthorized use or disclosure of Reports. The Company may only share the Reports with employees, directors, agents or third-party contractors who have a need to view the Report for the Purpose and who are subject to confidentiality obligations. If Immersive Labs requests, the Company agrees to promptly return and/or permanently destroy all copies of Reports in its possession and certify that it has done so.

Each Report is provided “AS-IS” and without any warranty, express, implied or otherwise, regarding its accuracy. This agreement imposes no obligation to proceed with any business transaction or relationship. These obligations of confidentiality will remain in effect in perpetuity. This agreement is governed by the laws of the Commonwealth of Massachusetts, USA. without reference to conflicts of law principles, you consent to the exclusive jurisdiction and venue of the courts in Boston, Massachusetts, USA. for all disputes arising out of or relating to this agreement.

This agreement is the parties’ entire agreement related to the confidentiality obligations associated with the Reports and the Purpose, superseding any prior or contemporaneous agreements. Notwithstanding the foregoing, if you are or become a customer of ours, or if you have already signed a Non-Disclosure Agreement (NDA) with us, then this agreement does not apply and the confidentiality obligations governing your use of the Reports will be as set forth in the Master Services Agreement, EULA, or NDA, as applicable.
